COINOPERATED TERMS OF SERVICE
Effective Date: September 11, 2026
These CoinOperated Terms of Service are an agreement between 1Shot API, Inc. ("1Shot," "we," "us," or "our") and each person who accesses or uses CoinOperated ("you"). CoinOperated is a self-custodial software service that lets you configure and authorize recurring transactions involving supported digital assets ("CoinOperated" or the "Service").
IMPORTANT: THESE TERMS INCLUDE INDIVIDUAL ARBITRATION, A CLASS-ACTION WAIVER, AND A 30-DAY RIGHT TO OPT OUT OF ARBITRATION. SECTION 21 EXPLAINS THESE TERMS.
By checking the acceptance box and selecting Activate Plan and Sign Permissions, or another button that clearly indicates acceptance, you agree to these Terms. You acknowledge the CoinOperated Privacy Notice. If you do not agree, do not activate or use a Plan.
1. Related Terms and Order of Control
The 1Shot Wallet Terms govern a 1Shot-provided wallet, wallet access, signing credentials, and wallet-level activity. The Public Infrastructure Terms and Acceptable Use Policy govern use of 1Shot-hosted public infrastructure. The CoinOperated Privacy Notice describes information practices associated with the Service.
These Terms control if there is a conflict concerning creation, operation, cancellation, or execution of a CoinOperated recurring plan. The Wallet Terms control if there is a conflict concerning wallet creation, key control, recovery, or wallet-level authorization. Transaction-specific disclosures control the asset, network, amount, recipient, timing parameters, slippage limit, charges, and other details they expressly identify for that transaction or Plan.
2. The Service
CoinOperated provides software that allows you to select supported assets, an amount, a frequency, a receiving address, and other available parameters for recurring transactions ("Plan"). After you activate a Plan and sign the requested cryptographic permissions ("Delegations"), the Service may initiate transactions automatically within the limits you approved, without asking you to approve each execution separately.
Each Plan is self-directed. You decide whether to create it and select its material parameters. 1Shot does not decide whether you should enter into a transaction or determine that a Plan is suitable for you. CoinOperated does not promise that a Plan will execute at a particular price or time, that every scheduled execution will occur, or that dollar-cost averaging or any other strategy will produce a profit or reduce loss.
3. Eligibility and Geographic Restrictions
You represent that you are at least 18 years old, have reached the age of majority and have legal capacity where you live, and are legally permitted to use the Service. You may not use the Service from a jurisdiction where 1Shot does not offer it or where your use would violate law.
You represent that you are not located in, ordinarily resident in, organized under the laws of, or acting for a person in a jurisdiction subject to comprehensive United States sanctions. You also represent that you are not a sanctioned or blocked person and are not owned or controlled by one. 1Shot may require information or use technical measures to determine eligibility.
4. Self-Custody and Wallet Security
CoinOperated is designed as a self-custodial service. 1Shot does not receive or store your private key or seed phrase and does not maintain an omnibus account holding your digital assets. Assets remain in your wallet until an authorized on-chain transaction uses them. Purchased assets are delivered to the receiving address specified in your Plan.
You are solely responsible for controlling your wallet, devices, credentials, passkeys, recovery methods, sessions, and receiving addresses. 1Shot may be unable to recover wallet access or digital assets if you lose access to a key, credential, device, passkey, recovery method, or receiving address. Loss may be permanent. Never provide a private key or recovery secret to 1Shot support.
Self-custody does not eliminate technical, legal, market, counterparty, or operational risk. A Delegation, smart account, contract, bridge, route, wallet, device, or protocol may contain defects or be compromised.
5. Plans and Delegations
Before activating a Plan, you must review the displayed Plan terms, including the funding asset and network, purchase asset, amount and frequency, receiving address, start and end or expiration parameters, slippage limit, transaction charges or caps, insufficient-balance treatment, and Delegation scope.
By signing a Delegation, you authorize the actions described in the signing request and displayed Plan terms. Depending on the Plan, that authority may include approving and spending a stated amount of a funding asset, paying disclosed transaction charges, obtaining and signing routing quotes, submitting transactions through a relayer, interacting with third-party protocols, and delivering output assets to the receiving address you selected.
Delegations are intended to contain technical limits on matters such as amount, cadence, asset, route, recipient, duration, slippage, and charges. You must review the actual wallet signing request. If a signing request is broader than you intend, do not sign it. A description in the interface does not expand or narrow the cryptographic authority actually granted on-chain.
Your authorization is a limited transaction authorization. It does not appoint 1Shot as your fiduciary, investment adviser, broker, trustee, custodian, or general agent. 1Shot does not have discretion to choose your investment objective or alter your selected purchase asset, frequency, or receiving address except as you separately authorize.
1Shot cannot originate or expand a transaction beyond the authority in your active Delegations. A change to a material Plan parameter may require you to sign a new or amended Delegation. The Service may choose an available technical route or execution method through automated processes only within the limits you authorized.
6. Automated Executions
Once a Plan is active, the Service may attempt an execution on or near each scheduled time without further action by you. Execution times are estimates. Network conditions, available routes, liquidity, balances, fees, price movement, outages, compliance controls, and third-party systems may delay, skip, reject, or prevent an execution.
Unless the Plan interface expressly states otherwise, a skipped execution will not be retried or accumulated into a later execution. 1Shot has no duty to obtain a replacement transaction or "catch up" a missed period.
You must maintain enough of the required funding asset to cover the full scheduled amount and applicable charges. If the balance is insufficient, the Service may skip the execution. The Service will execute a reduced amount only if you have affirmatively selected an available-balance or equivalent option. A reduced execution may produce a smaller purchase than you expected.
You are responsible for confirming that each receiving address supports the selected asset and network and is owned or controlled by you. Transactions sent to an incorrect, incompatible, inaccessible, or third-party address may be irreversible and permanently lost.
7. Canceling Plans and Revoking Delegations
You may stop the Service from scheduling future executions by canceling or deleting a Plan through the available interface. Cancellation may not stop a transaction that was already initiated.
Canceling or deleting a Plan off-chain does not necessarily revoke its on-chain Delegations. Unless the interface confirms that revocation was completed on-chain, you must separately revoke the Delegations through the wallet or revocation method made available to you. Revocation may require an on-chain transaction and may be delayed, fail, or require network fees. You remain responsible for active Delegations until revocation is confirmed on-chain.
8. Quotes, Routes, Slippage, and Partial Completion
The Service may obtain routes or quotes from third-party protocols. A quote is time-limited and may change or become unavailable before execution. A slippage setting is a maximum tolerance, not a guaranteed execution price or minimum return.
Routing and quote selection are automated technical functions. A displayed route, quote, price, estimate, default, or other parameter is informational, may be delayed or inaccurate, and is not a recommendation. 1Shot does not promise best price, best execution, the lowest charges, or use of any particular venue, route, or source of liquidity.
A cross-chain or multi-step transaction may complete only in part. If an earlier step succeeds and a later step fails, you may receive an intermediate digital asset instead of the selected output asset. A transaction may also require a claim, refund, recovery, or additional transaction initiated by you. Network, bridge, exchange, or protocol charges may be incurred even when the selected output is not delivered.
1Shot may provide available status information or reasonable technical assistance, but it does not guarantee recovery, completion, reversal, or reimbursement. You remain responsible for monitoring execution status and controlling any intermediate or refunded assets delivered to your address.
9. Fees and Charges
Before Plan activation, the interface will display the charges payable to 1Shot, any applicable cap, and available estimates of third-party or network charges. Charges may include relayer, network, swap, liquidity-provider, bridge, or protocol charges. Estimates may change because of market or network conditions.
By activating a Plan, you authorize the deduction of charges within the displayed limits. 1Shot will not deduct a charge payable to 1Shot above the displayed maximum without new authorization. Third-party smart contracts or protocols may deduct charges under their own rules. Unless required by law, charges already incurred for a submitted or completed on-chain action are nonrefundable.
1Shot may introduce, modify, waive, subsidize, or discontinue charges prospectively. A material charge change requires disclosure before it applies to a new or renewed Plan authorization.
10. Digital Asset and Transaction Risks
Digital assets are volatile and may lose some or all of their value. Stablecoins may lose their peg, become illiquid, be frozen by an issuer, or become unavailable. An issuer, protocol, compliance provider, or other third party may freeze, restrict, reject, delay, or prevent a transaction or the use, transfer, or redemption of an asset. 1Shot may be unable to reverse or remedy that action. Blockchain reorganizations, congestion, validator behavior, maximal extractable value, cyberattacks, software defects, governance changes, forks, and regulatory action may affect a transaction or asset.
Liquidity may be unavailable or insufficient. Execution prices may differ materially from displayed prices or market references. Transactions may be delayed, reordered, reverted, partially completed, exploited, or permanently irreversible. Digital assets and transactions are generally not insured by the Federal Deposit Insurance Corporation, the Securities Investor Protection Corporation, or any similar government program.
11. No Advice, Recommendation, or Fiduciary Relationship
You select each Plan and make all investment and transaction decisions. CoinOperated does not provide investment, financial, legal, accounting, or tax advice. Information, calculators, illustrations, labels, market data, and default settings are general product information and are not personalized recommendations or promises.
1Shot does not evaluate whether a Plan, parameter, route, transaction, or digital asset is suitable, lawful, profitable, or appropriate for you. The availability or display of an asset or feature is not an endorsement or solicitation. Dollar-cost averaging does not guarantee a better price, reduce all risk, or prevent loss. You should obtain professional advice if appropriate for your circumstances.
12. Third-Party Services
The Service may interact with independent wallets, relayers, routing providers, decentralized exchanges, liquidity providers, bridges, token issuers, blockchains, oracles, RPC providers, analytics providers, communication services, and cloud providers. Third-party terms and privacy notices may apply.
1Shot does not control or warrant a third party's security, solvency, legality, accuracy, availability, routing, liquidity, charges, performance, or continued support. References to or use of a third party do not constitute an endorsement or partnership. Your dealings with an independent third party are between you and that third party, and you are responsible for its applicable terms and charges. 1Shot may add, replace, restrict, or discontinue an integration.
13. Service Availability, Changes, and Suspension
The Service may be unavailable or changed without notice because of maintenance, capacity, security, legal requirements, market conditions, third-party changes, or technical failures. 1Shot may limit, suspend, or discontinue the Service, a Plan, an asset, a network, an address, a route, or a user when reasonably necessary for security, legal compliance, risk management, abuse prevention, or product operations.
Suspension of 1Shot-operated software does not itself reverse completed blockchain transactions or revoke on-chain Delegations. You must maintain your own ability to access your wallet and revoke permissions without relying solely on the Service.
14. Compliance, Taxes, and Records
You are responsible for determining and complying with laws applicable to your use, including tax reporting and payment obligations. 1Shot may collect information, screen addresses and locations, reject or stop activity, preserve records, or provide information when reasonably necessary to comply with law, sanctions, legal process, or security requirements.
Public blockchain transactions and addresses are visible to third parties and may be permanent. 1Shot cannot erase or alter a public blockchain record.
15. Prohibited Use
You may not use the Service to violate law, evade sanctions or geographic restrictions, launder funds, finance terrorism, defraud or deceive, manipulate markets, infringe rights, distribute malware, gain unauthorized access, interfere with the Service, bypass technical or risk controls, conceal the source or destination of assets, or transact for another person in a way that requires a license or registration you do not have.
You may not use bots, agents, APIs, or other automated tools except through interfaces and permissions that 1Shot expressly supports. You are responsible for every action taken through an agent, application, token, session, wallet, or credential you authorize.
16. Privacy and Electronic Communications
The CoinOperated Privacy Notice explains how information is collected, used, retained, and disclosed. Wallet addresses, receiving addresses, transaction hashes, Plan details, and blockchain activity are pseudonymous, not necessarily anonymous, and may constitute personal information.
You consent to electronic records and communications concerning the Service. If you choose optional email or messaging notifications, delivery is not guaranteed and a failure or delay does not alter an on-chain transaction or your responsibility to monitor your Plans.
17. Intellectual Property and Feedback
1Shot and its licensors own the Service, interfaces, nonpublic software, documentation, and branding, subject to applicable open-source licenses. 1Shot grants you a personal, limited, revocable, non-exclusive, non-transferable right to use the Service lawfully during these Terms.
If you provide feedback, you grant 1Shot a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided that 1Shot does not identify you publicly without permission.
18. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1SHOT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
1SHOT DOES NOT WARRANT THAT THE SERVICE WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT A PARTICULAR TIME. 1SHOT DOES NOT GUARANTEE A PLAN, EXECUTION, PRICE, QUOTE, ROUTE, LIQUIDITY SOURCE, WALLET, DELEGATION, SMART CONTRACT, RELAYER, BRIDGE, BLOCKCHAIN, TOKEN, STABLECOIN, RECEIVING ADDRESS, CONFIRMATION, FINALITY, RECOVERY, REFUND, VALUE, TAX TREATMENT, OR REGULATORY TREATMENT.
1SHOT IS NOT YOUR BANK, CUSTODIAN, BROKER, DEALER, INVESTMENT ADVISER, FIDUCIARY, TRUSTEE, ESCROW AGENT, OR GENERAL AGENT. NON-WAIVABLE RIGHTS REMAIN UNAFFECTED.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1SHOT AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, DIGITAL ASSETS, KEYS, CREDENTIALS, OPPORTUNITIES, OR EXPECTED SAVINGS.
1SHOT'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID DIRECTLY TO 1SHOT FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT OR US$100.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, AND NOTHING IN THESE TERMS LIMITS NON-WAIVABLE CONSUMER RIGHTS.
20. Indemnity
To the extent permitted by applicable law, you will indemnify and hold harmless 1Shot and its affiliates, licensors, service providers, and personnel from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, fraud, infringement, material breach of these Terms, or use of an address, wallet, agent, or account you do not have authority to control.
You do not indemnify a protected party for that party's own fraud, willful misconduct, or liability that cannot lawfully be shifted to you.
21. Informal Resolution, Arbitration, and Class Waiver
Before arbitration, a party must send an individualized notice describing the claimant, wallet or acceptance reference, relevant facts, requested relief, and contact information. Notices to 1Shot must be sent to [email protected] and 1Shot API, Inc., 2108 N St #4922, Sacramento, CA 95816. The parties will attempt informal resolution for 60 days.
Except for small claims and the exceptions below, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its then-current Consumer Arbitration Rules. The Federal Arbitration Act governs this arbitration agreement. The arbitrator may award the individual relief a court could award.
Arbitration may proceed by documents, telephone, or video where permitted. Any in-person hearing will occur at a reasonably convenient location for you. Fees will be allocated under the AAA Consumer Rules and applicable law.
Either party may bring an eligible individual claim in small-claims court or seek temporary court relief to protect wallets, credentials, intellectual property, confidential information, or service security. Claims that cannot lawfully be arbitrated are excluded. A claim for public injunctive relief will be decided by a court only after arbitration of arbitrable claims and remedies, unless applicable law requires otherwise.
To the extent permitted by law, disputes must proceed individually and not as a class, collective, consolidated, coordinated, or representative action. If the AAA determines that its Mass Arbitration Supplementary Rules apply, those rules will govern administration together with the Consumer Arbitration Rules. If a final decision holds the class-action waiver unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court after all arbitrable matters are completed. The remainder of this arbitration agreement remains enforceable.
The arbitrator has exclusive authority to decide disputes about the interpretation, applicability, or enforceability of this arbitration agreement, except that a court decides the enforceability of the class-action waiver. If the AAA cannot or will not administer a dispute consistent with these Terms, the parties will select a comparable administrator or a court will appoint one.
You may opt out of arbitration by emailing [email protected] within 30 days after first accepting these Terms. Include your wallet or acceptance-record identifier, the email address used to send the notice, and a clear statement that you opt out. Do not include a private key or recovery secret.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A CLAIM ARISING FROM THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE YEAR AFTER IT ACCRUES OR IT IS PERMANENTLY BARRED.
22. Governing Law and Courts
Delaware law governs, excluding conflict rules, but does not displace non-waivable protections where you live. If a dispute is not arbitrated, the parties consent to the state and federal courts in San Francisco County, California, except for eligible local small-claims actions or where applicable law requires another forum.
23. Changes to These Terms
1Shot may revise these Terms prospectively. If a change materially affects an active Plan or previously granted Delegation, 1Shot will provide notice and obtain renewed assent before relying on the change for future executions, unless the change is required immediately by law or necessary to address an urgent security risk. Your continued use after the stated effective date constitutes acceptance when permitted by law.
24. General
These Terms, the incorporated terms, and transaction-specific disclosures are the entire agreement concerning the Service. If a provision is invalid, the remainder remains effective and the invalid provision will be enforced to the maximum lawful extent. 1Shot may assign these Terms to an affiliate or in connection with a financing, reorganization, merger, or sale of the relevant business. You may not assign them without consent. No failure to enforce is a waiver. Electronic notices and records satisfy writing requirements where lawful.
